04:48 PM EDT, 03/30/2026 (MT Newswires) -- Service Properties Trust (SVC) said late Monday it has commenced a $500 million underwritten public offering of its common shares.

The company said it expects to use the net proceeds to redeem all or part of the $100 million principal amount outstanding of its 4.95% senior notes due 2027 and/or the $450 million principal amount outstanding of its 5.50% senior notes due 2027.

The underwriters will also be offered a 30-day option to buy up to an additional 15% of the amount of shares to be issued and sold in the proposed offering, less underwriting discounts and commissions, according to the company.

Helix Partners and The RMR Group (RMR) have given indications of interest to buy up to $100 million and $50 million, respectively, of common shares in the proposed offering, the company said.

The company added that its president and chief executive officer, its chief financial officer and treasurer, as well as some members of its board of trustees, have also expressed interest.

Service Properties Trust (SVC) said it will expand its board of trustees to add an experienced independent trustee in the near term.

In general the bond market is volatile, and fixed income securities carry interest rate risk. (As interest rates rise, bond prices usually fall, and vice versa. This effect is usually more pronounced for longer-term securities.) Fixed income securities also carry inflation risk and credit and default risks for both issuers and counterparties. Unlike individual bonds, most bond funds do not have a maturity date, so avoiding losses caused by price volatility by holding them until maturity is not possible.

Lower-quality debt securities generally offer higher yields, but also involve greater risk of default or price changes due to potential changes in the credit quality of the issuer. Any fixed income security sold or redeemed prior to maturity may be subject to loss.
