Matador Resources Plans $750 Million Notes Offering, Launches 2028 Tender Offer

10:56 AM EST, 02/26/2026 (MT Newswires) -- Matador Resources (MTDR) said Thursday it plans to offer $750 million of senior unsecured notes due 2034 in a private placement.

Separately, the company said it has commenced a cash tender offer to purchase any and all of its $500 million outstanding 6.875% senior notes due 2028. The company intends to use the net proceeds from the new notes offering to fund the tender offer and to repay borrowings under its credit facility.

If any 2028 notes remain after the offer, Matador said it intends to satisfy and discharge them in accordance with the terms of the indenture governing the notes.

The tender offer will expire on March 4, unless extended. Holders who validly tender their notes will receive $1,019.75 per $1,000 principal amount, plus accrued and unpaid interest. The offer depends on Matador raising at least $500 million from the new notes offering.

The company said it may terminate, extend or amend the offer at its discretion.
