CoreWeave Plans $2 Billion Private Debt Offering; Shares Down Pre-Bell

07:23 AM EST, 12/08/2025 (MT Newswires) -- CoreWeave (CRWV) said Monday it plans a private offering of $2 billion of convertible senior notes due Dec. 1, 2031.

The company intends to grant the initial purchasers an option to buy up to an additional $300 million of the notes.

It will use proceeds from the offering to fund certain capped call transactions and for general corporate purposes.

CoreWeave (CRWV) shares were down 6.3% in recent premarket activity.
