The Issuer previously issued $1 billion of its 5.625% senior unsecured notes due 2029 on August 20, 2021 (the "Original Notes"). The New Notes were priced on August 25, 2021 at a price of 100.00% of the principal amount. The precise timing, size and terms of the Add-On Offering are subject to market conditions and other factors. No assurance can be made that the Add-On Offering will be consummated on its proposed terms or at all.

The Issuer intends to use the net proceeds from the Add-On Offering to reduce credit facility borrowings and for general corporate purposes. The New Notes will be guaranteed by all of Stagwell's (STGW) domestic subsidiaries that guarantee the Original Notes.

The New Notes and the related note guarantees are being offered in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and to non-U.S. persons in accordance with Regulation S under the Securities Act. In general the bond market is volatile, and fixed income securities carry interest rate risk. (As interest rates rise, bond prices usually fall, and vice versa. This effect is usually more pronounced for longer-term securities.) Fixed income securities also carry inflation risk and credit and default risks for both issuers and counterparties. Unlike individual bonds, most bond funds do not have a maturity date, so avoiding losses caused by price volatility by holding them until maturity is not possible.

Lower-quality debt securities generally offer higher yields, but also involve greater risk of default or price changes due to potential changes in the credit quality of the issuer. Any fixed income security sold or redeemed prior to maturity may be subject to loss.
